  • In a landmark decision, we prevailed in an appeal to the United States Court of Appeals, Third Circuit, where the Court held that an insolvent S Corporation’s discharge of indebtedness income is an item of income permitting the shareholders to adjust their basis in their S Corporation’s stock.     Our Lending, Foreclosure and Loan Enforcement practice includes the representation of middle-market lenders in a variety of financing transactions, including working capital lines of credit, term-loans, asset-based loans and real estate loans. We also represent borrowers in loan transactions.

    Our representation of lenders also extends to serving as counsel in connection with the purchase or sale of debt, restructuring, work-out transactions, and the enforcement of the rights of lenders, including commercial mortgage foreclosure proceedings and bankruptcy lift-stay proceedings.

  • We successfully represented a commercial mortgage lender in two related foreclosure lawsuits, securing both the dismissal of fraud claims and summary judgment, awarding our client a judgment of foreclosure and sale. Read more…

  • Creditors’ Rights

    Our Business Reorganization and Creditors’ Rights practice handles sophisticated creditor claims. We have extensive litigation experience in all aspects of bankruptcy proceedings.

    As creditors’ counsel, we represent clients in corporate and small business cases. On behalf of our lender clients, we have been successful in obtaining in rem orders, depriving debtors of further obstructionist tactics, and permitting the lenders to proceed expeditiously with mortgage foreclosure proceedings.

  • In a bankruptcy hearing in bankruptcy court in Rhode Island, our firm successfully challenged $6,500,000 of tax claims filed by the IRS and won an award sanctioning the government and requiring the government to pay our client’s legal fees. Read more…

  • Nonprofit, Religious and Charitable Organizations

    We provide a wide-variety of legal services to religious organizations, charities, and not-for-profit entities. In addition to formation and organization, we counsel such entities with regard to corporate governance, tax compliance, tax audits, internal investigations, and legal reporting requirements.

    Our litigation expertise includes proceedings seeking the judicial approval or confirmation of mortgages on properties owned by religious organizations. For instance, we recently won an appeal reinstating a temple’s complaint to void certain mortgages as illegally recorded by the bank in violation of the Religious Corporations Law and staying the bank’s related foreclosure proceeding.

    We were also successful in defending a church against claims by a bankruptcy trustee seeking to void certain charitable contributions made by the debtor. The case involved insolvency issues and novel issues under the Religious Liberty and Charitable Donation Protection Act of 1998.

  • Our firm prevailed on appeal and won the reinstatement of our client’s complaint to void certain mortgages as having been recorded by the bank in violation of the Religious Corporations Law. Read more…
